A BILL to amend and reenact section thirteen, article one, chapter
thirty-one of the code of West Virginia, one thousand nine
hundred thirty-one, as amended, relating to requiring a
corporation registering with the secretary of state to provide
the names and addresses of each subsidiary of the corporation
and the corporation's parent corporation.
Be it enacted by the Legislature of West Virginia:
That section thirteen, article one, chapter thirty-one of the
code of West Virginia, one thousand nine hundred thirty-one, as
amended, be amended and reenacted to read as follows:
ARTICLE 1. BUSINESS AND NONPROFIT CORPORATIONS.
§31-1-13. Registered name.

Any corporation organized and existing under the laws of any
state or territory of the United States may register its corporate
name under this article, provided its corporate name complies with the requirements of subdivision (3), subsection (a), section eleven
of this article.

Such registration shall be made by:

(a) Filing with the secretary of state: (1) An application
for registration executed by the corporation by an officer thereof,
setting forth the name of the corporation, the state or territory
under the laws of which it is incorporated, the date of its
incorporation, the names and addresses of each subsidiary of the
corporation and the corporation's parent corporation, a statement
that it is carrying on or doing business, and a brief statement of
the business in which it is engaged; and (2) a certificate setting
forth that such corporation is in good standing under the laws of
the state or territory wherein it is organized, executed by the
secretary of state of such state or territory or by such other
official as may have custody of the records pertaining to
corporations; and

(b) Paying to the secretary of state the registration fee
prescribed by section two, article one, chapter fifty-nine of this
code.

Such registration shall be effective until the close of the
fiscal year in which the application for registration is filed.

NOTE: The purpose of this bill is to require a corporation
registering with the Secretary of State to provide the names and
addresses of each subsidiary of the corporation and the
corporation's parent corporation.
